Terms of Service
The Flat Rock Events app is currently in a private beta phase. During beta, the service is operated by Patrick Mikes, an individual operating under the name Serenica Digital, on behalf of the company that will own the platform at launch (referred to below as the "Client"). At public launch, the operator of the service will transition from Patrick Mikes to the Client, and these terms will be updated at that time. You will be notified of the transition in-app before it takes effect.
1. Acceptance
These Terms of Service ("Terms") govern your access to and use of the Flat Rock Events mobile application and web admin portal (collectively, the "Service"), operated during the beta phase by Patrick Mikes, an individual operating under the name Serenica Digital, located in the State of Michigan, United States ("we," "us," "our"). By creating an account, claiming an invitation, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Eligibility
To use the Service, you must:
- Be at least 18 years old, or the age of majority in your jurisdiction, whichever is greater.
- Have the legal capacity to enter into a binding contract.
- Have received an invitation from an event organizer, or have been granted an account by an administrator. The Service is not open for public registration — access is organizer-controlled.
- Not be barred from using the Service under applicable laws (for example, trade sanctions).
The Service is designed for use at corporate and professional events. It is not directed at children.
3. Your account
You are responsible for maintaining the confidentiality of your sign-in credentials (whether a password or a linked Google / Apple / Microsoft account) and for all activity that occurs under your account.
- Provide accurate information in your profile and keep it up to date.
- Do not share your credentials or let others sign in as you.
- Notify us promptly if you believe your account has been compromised, using the contact information in section 15.
- If you were invited by an organizer, the invitation code and email combination is how we verify you are the intended recipient. Do not share your invitation code with others.
4. Acceptable use
When using the Service, you agree not to:
- Impersonate another person or misrepresent your identity or affiliation.
- Upload, submit, or transmit content that is unlawful, harassing, defamatory, abusive, threatening, harmful, obscene, or otherwise objectionable.
- Use the Service to harass, stalk, or contact other attendees in ways they have not consented to.
- Attempt to gain unauthorized access to any part of the Service, any event you are not a member of, or any other user's account.
- Reverse-engineer, decompile, or disassemble any part of the Service except to the extent permitted by applicable law.
- Interfere with or disrupt the Service, including by attempting to overwhelm it with traffic, submitting malicious code, or probing for vulnerabilities without authorization.
- Use the Service to send unsolicited commercial messages or advertising.
- Scrape, harvest, or otherwise extract attendee, speaker, or organizer contact information for any purpose outside the event you are attending.
- Use the Service in any way that violates applicable law, including privacy, export-control, and intellectual-property laws.
We reserve the right to suspend or terminate accounts that violate these restrictions, as described in section 11.
5. Content you submit
The Service allows you to submit limited content — your profile, private session notes, and feedback on sessions or events. The rules for each are different.
5.1 Profile content
Information you add to your profile (name, photo, bio, title, contact fields) is visible to event organizers and, if you opt in to the attendee directory, to other attendees of events you are a member of. Do not post profile content you are not comfortable sharing with the people running the event.
5.2 Private session notes
Notes you write on sessions are private to you by design. They are not visible to organizers or other attendees. You are responsible for the content of your own notes, and you retain ownership of them.
5.3 Session and event feedback
Ratings and comments you submit as feedback are visible to event organizers and the organizing company's internal team, but not to other attendees. Do not include personal attacks, harassment, or other content that violates the acceptable-use rules in section 4.
5.4 License you grant us
For any content you submit through the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to store, display, and process that content for the sole purpose of operating the Service on your behalf and delivering it to the audiences described above. This license is limited to what is necessary to provide the Service to you. It does not grant us the right to use your content for marketing, advertising, training machine-learning models, or any purpose beyond running the app.
5.5 Our right to remove content
We may remove any content that violates these Terms or that we reasonably believe to be unlawful, without prior notice. For content reported by other users, our response will depend on the severity of the violation and typically will be completed within 48 hours.
5.6 Reporting content
To report content you believe violates these Terms, email us at events-support@serenicadigital.dev with a description of the content and where you encountered it.
6. Third-party services
The Service uses third-party infrastructure and integrations (Firebase / Google Cloud, Firebase Cloud Messaging for push notifications, SMTP providers for email, and OAuth providers for sign-in). Your use of these integrations is subject to those providers' own terms. We do not control them and are not responsible for their performance or practices beyond our contractual relationships with them. See the privacy policy for details on how these services handle your data.
7. Intellectual property
The Service, including all software, designs, logos, trademarks, and content we provide (other than content you or other users submit), is owned by Patrick Mikes or his licensors during the beta phase, and by the Client after public launch. These Terms do not transfer any ownership to you. You may not copy, modify, distribute, sell, or create derivative works based on the Service except as expressly permitted in these Terms or by applicable law.
You retain ownership of the content you submit, subject to the license in section 5.4.
8. Privacy
Our collection, use, and sharing of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read the Privacy Policy.
9. Disclaimers
The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. We do not warrant that the Service will meet your requirements, be compatible with any specific device, or operate without errors or interruptions.
The Service is a tool for event coordination. It is not a substitute for direct communication with event organizers on time-sensitive matters. Do not rely solely on push notifications or in-app information for decisions with legal or safety implications.
The beta phase of the Service may include features that are incomplete, undergoing testing, or subject to change without notice. Some features described in marketing materials, documentation, or this policy may not yet be available.
10. Limitation of liability
To the maximum extent permitted by applicable law, in no event will Patrick Mikes, the Client, or their respective agents, contractors, or representatives be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with these Terms or your use of the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability for any claim arising out of or in connection with these Terms or your use of the Service will not exceed one hundred U.S. dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the above limitations apply to the maximum extent permitted by law.
11. Termination
You may stop using the Service at any time. You may request account deletion as described in the Privacy Policy, section 10.1.
We may suspend or terminate your account at any time, with or without notice, if you violate these Terms or if we are required to do so by law. We may also suspend or terminate the Service, in whole or in part, at our discretion.
On termination, sections 5.4 (license to content you submitted, to the extent needed to operate the Service), 7 (intellectual property), 9 (disclaimers), 10 (limitation of liability), and 14 (governing law) survive.
12. Changes to the Service and these Terms
We may modify the Service at any time, including adding or removing features. We may also update these Terms from time to time. When we make a material change to these Terms, we will:
- Update the "Last reviewed" date at the top.
- Notify you in the app, either through the in-app notification inbox or with a banner on next launch after the change.
If you continue to use the Service after a change takes effect, you accept the updated Terms. If you do not accept them, stop using the Service and, if you wish, request account deletion.
13. No warranty for third-party content
The Service may display content submitted by event organizers, sponsors, or other attendees, and may link to third-party websites. We do not endorse or guarantee the accuracy, completeness, or usefulness of any such content or linked site, and we are not responsible for it.
14. Governing law and disputes
During the beta phase, these Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict-of-laws principles. You and Patrick Mikes each consent to the exclusive jurisdiction of the state and federal courts located in Michigan for any dispute arising out of or in connection with these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.
At public launch, the governing law and venue provisions will transition to those of the Client's home jurisdiction, which will be specified in the updated Terms.
Nothing in this section limits any rights you have as a consumer under applicable law, including the right to bring a claim in the courts of the country where you reside.
